EventsInAmerica.com provides all users access to information about trade shows, event and venue profiles; search tools; and industry services providers. EventsInAmerica.com provides registered members access to networking and communication tools; event profile listing and admin tools; and detailed event organizer contact information.
EventsInAmerica.com may include advertisements and sponsorships and custom messages that are necessary for EventsInAmerica.com to provide the network services.
You also agree to: provide true, accurate, current and complete information about yourself as prompted by EventsInAmerica.com registration form and maintain and promptly update the personal data to keep it true, accurate, current and complete.
If you provide any information that is untrue, inaccurate, not current or incomplete, or EventsInAmerica.com has reasonable grounds to suspect that such information is untrue, inaccurate, not current or incomplete, EventsInAmerica.com has the right to suspend or terminate your membership and refuse any and all current or future use of the EventsInAmerica.com website.
You will receive a password and account designation upon completing the EventsInAmerica.com's registration process. You are responsible for maintaining the confidentiality of the password and account and are fully responsible for all activities that occur under your password or account.
You agree to immediately notify EventsInAmerica.com of any unauthorized use of your password or account or any other breach of security and ensure that you exit from your account at the end of each session.

f. upload, post, email, transmit or otherwise make available any unsolicited or unauthorized advertising, promotional materials, "junk mail," "spam," "chain letters," "pyramid schemes," or any other form of solicitation;
g. upload, post, email, transmit or otherwise make available any material that contains software viruses, or any other computer code, files or programs designed to interrupt, destroy or limit the functionality of any computer software or hardware or telecommunications equipment;
h. interfere with or disrupt the EventsInAmerica.com servers, or disobey any requirements, procedures, policies or regulations of networks connected to the EventsInAmerica.com, including using any device, software or routine to bypass our robot exclusion headers;
i. provide material support or resources (or to conceal or disguise the nature, location, source, or ownership of material support or resources) to any organization(s) designated by the United States government as a foreign terrorist organization pursuant to section 219 of the Immigration and Nationality Act;
j. "stalk" or otherwise harass another; and/or collect or store personal data about other users in connection with the prohibited conduct and activities set forth in paragraphs (a) through (i) above.
You acknowledge that EventsInAmerica.com may or may not pre-screen Content, but that EventsInAmerica.com and its designees shall have the right but not the obligation in their sole discretion to pre-screen, refuse, or remove any Content that is available via the EventsInAmerica.com. If you promote a contest, sweepstakes or giveaway on EventsInAmerica.com without our express, advanced approval, you do so at your risk and you assume all risk and liability; you further agree to hold EventsInAmerica.com harmless from any claim, demand or damages.

However, with respect to Content you submit or make available for inclusion on publicly accessible areas of the EventsInAmerica.com, you grant EventsInAmerica.com the following worldwide, royalty-free and non-exclusive license(s), as applicable:
a. With respect to Content you submit or make available for inclusion on publicly accessible areas of EventsInAmerica.com, the license to use, distribute, reproduce, modify, adapt, publicly perform and publicly display such Content on the EventsInAmerica.com solely for the purposes of providing and promoting the specific EventsInAmerica.com to which such Content was submitted or made available. This license exists only for as long as you elect to continue to include such Content on the EventsInAmerica.com and will terminate at the time you remove or EventsInAmerica.com removes such Content.
b. You also agree to publishing guidelines of EventsInAmerica.com that are inclusive of the following items but not limited to:
a. We strongly encourage all participants to disclose any direct or indirect positions held in securities or investment instruments that are discussed in their posts or articles or blogs or white papers.
b. EventsInAmerica.com blogs, Content and Contributions are intended to serve as a discussion center for thoughtful users who make their own events related decisions. They are not the place for spreading false information, hate speech, copyright violations or unauthorized promotional or solicitation activities or selling products.
c. EventsInAmerica.com editorial guidelines are designed to maintain the civil, thoughtful, intelligent and informative dialogue and discussion among its members and any submission that violates the spirit of the site or the editorial prudence will be removed from the site without any notice.
d. If an author has a business relationship with a company named in an article that he or she has authored, that relationship must be fully and accurately disclosed.
e. Users who choose to use aliases, pseudonyms or other screen names are informed that the true identity of the person's name and email address will be contained in the records of EventsInAmerica.com and if deemed necessary the site may reveal the true identity to the regulatory and law enforcement agencies.

You agree to provide to EventsInAmerica.com on demand proof of your right to upload, submit, post, transmit, modify or otherwise make available through EventsInAmerica.com as owner or under any law, license, contractual or fiduciary relationships.
EventsInAmerica.com is not intended to provide financial, investment, tax, legal, insurance or personal advice, or recommend an event or a product or an exhibitor and nothing on EventsInAmerica.com should be construed as an offer to sell, a solicitation of an offer to buy, or a recommendation for any security by EventsInAmerica.com or any third party.
You alone are solely responsible for determining whether any event ranking, trade show ranking or a product or service is appropriate or suitable for you based on your objectives and personal and financial situation.
You acknowledge that EventsInAmerica.com may establish general practices and limits concerning use of the EventsInAmerica.com, including without limitation the maximum number of days that email messages, message board postings or other uploaded Content will be retained by EventsInAmerica.com, the maximum number of email messages that may be sent from or received by an account on the EventsInAmerica.com, the maximum size of any email message that may be sent from or received by an account on EventsInAmerica.com, the maximum disk space that will be allotted on EventsInAmerica.com servers on your behalf, and the maximum number of times and the maximum duration for which you may access EventsInAmerica.com in a given period of time.
You agree that EventsInAmerica.com has no responsibility or liability for the deletion or failure to store any messages and other communications or other Content maintained or transmitted by EventsInAmerica.com. You acknowledge that EventsInAmerica.com reserves the right to log off accounts that are inactive for an extended period of time. You further acknowledge that EventsInAmerica.com reserves the right to modify these general practices and limits from time to time.
You may terminate your EventsInAmerica.com account, any associated email address and access to the EventsInAmerica.com by submitting such termination request to EventsInAmerica.com.
You agree that EventsInAmerica.com may, without prior notice, immediately terminate, limit your access to or suspend your EventsInAmerica.com account, any associated email address. Cause for such termination, limitation of access or suspension shall include, but not be limited to:
a. breaches or violations of the Terms of Services or other incorporated agreements or guidelines,
b. requests by law enforcement or other government agencies,
c. discontinuance or material modification to the EventsInAmerica.com or any part thereof,
d. unexpected technical or security issues or problems,
e. extended periods of inactivity or for more than sixty days,
f. engagement by you in fraudulent or illegal activities, and/or
g. nonpayment of any fees owed by you in connection with EventsInAmerica.com.
Further, you agree that all terminations, limitations of access and suspensions for cause shall be made at EventsInAmerica.com's sole discretion and that EventsInAmerica.com shall not be liable to you or any third party for any termination of your account, any associated email address, or access to the EventsInAmerica.com. Termination of your EventsInAmerica.com account includes any or all of the following:

b. deletion of your password and all related information, files and content associated with or inside your account or any part thereof, and

EventsInAmerica.com AND ITS SUBSIDIARIES, AFFILIATES, OFFICERS, EMPLOYEES, AGENTS, PARTNERS AND LICENSORS EXPRESSLY DISCLAIM ALL WARRANTIES OF ANY KIND, WHETHER EXPRESS OR IMPLIED, INCLUDING, BUT NOT LIMITED TO THE IMPLIED WARRANTIES OF TITLE, MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE AND NON-INFRINGEMENT.
b. EventsInAmerica.com AND ITS SUBSIDIARIES, AFFILIATES, OFFICERS, EMPLOYEES, AGENTS, PARTNERS AND LICENSORS MAKE NO WARRANTY THAT
(i) THE EventsInAmerica.com OR SOFTWARE WILL MEET YOUR REQUIREMENTS;
(ii) THE EventsInAmerica.com OR SOFTWARE WILL BE UNINTERRUPTED, TIMELY, SECURE OR ERROR-FREE;
(iii) THE RESULTS THAT MAY BE OBTAINED FROM THE USE OF THE EventsInAmerica.com OR SOFTWARE WILL BE ACCURATE OR RELIABLE;
(iv) THE QUALITY OF ANY PRODUCTS, SERVICES, INFORMATION OR OTHER MATERIAL PURCHASED OR OBTAINED BY YOU THROUGH THE EventsInAmerica.com OR SOFTWARE WILL MEET YOUR EXPECTATIONS; AND
(v) ANY ERRORS IN THE SOFTWARE WILL BE CORRECTED.
c. ANY MATERIAL DOWNLOADED OR OTHERWISE OBTAINED THROUGH THE USE OF EventsInAmerica.com OR SOFTWARE IS ACCESSED AT YOUR OWN DISCRETION AND RISK, AND YOU WILL BE SOLELY RESPONSIBLE FOR AND HEREBY WAIVE ANY AND ALL CLAIMS AND CAUSES OF ACTION WITH RESPECT TO ANY DAMAGE TO YOUR COMPUTER SYSTEM, INTERNET ACCESS, DOWNLOAD OR DISPLAY DEVICE, OR LOSS OF DATA THAT RESULTS FROM THE DOWNLOAD OF ANY SUCH MATERIAL.
d. NO ADVICE OR INFORMATION, WHETHER ORAL OR WRITTEN, OBTAINED BY YOU FROM EventsInAmerica.com OR SOFTWARE SHALL CREATE ANY WARRANTY NOT EXPRESSLY STATED IN THE TERMS OF SERVICES.
You agree that all EventsInAmerica.com's trademarks, trade names, service marks and otherEventsInAmerica.com logos and brand features, and product and service names are trademarks and the property of EventsInAmerica.com and without EventsInAmerica.com's prior permission, you agree not to display or use in any manner the EventsInAmerica.com brand features and logos.
EventsInAmerica.com may, in appropriate circumstances and at its discretion, disable and/or terminate the accounts of users who may be infringers. If you believe that your work has been copied in a way that constitutes copyright infringement, or your intellectual property rights have been otherwise violated, please provide EventsInAmerica.com a statement by you, made under penalty of perjury, that the above information in your notice is accurate and that you are the copyright or intellectual property owner or authorized to act on the copyright or intellectual property owner's behalf.
All provisions of any relevant terms and conditions, policies and notices are, notwithstanding the manner in which they have been grouped together or linked grammatically, severable from each other. Any provision of any relevant terms and conditions, policies and notices, which is or becomes unenforceable in any jurisdiction, whether due to voidness, invalidity, illegality, unlawfulness or for any reason whatever, shall, in such jurisdiction only and only to the extent that it is so unenforceable, be treated as pro non scripto and the remaining provisions of any relevant terms and conditions, policies and notices shall remain in full force and effect.
